Our core philosophy and business model is based on the assumption that most private business structures change at some point through a Sale, Transfer of Ownership, Acquisition of other Assets, Recapitalization for growth purposes, or other major events.

Onyx Associates is organized, internally and through strong networks of affiliates, to facilitate and execute such re-defining events — M&A transactions — from either side of the table.

ONYX Integrated Services Model

The value of Onyx services to our clients is further enhanced by integrating them in the context of an overall set of goals...for example achievement of a "Corporate Sale within 18 months at a minimum Value of $20M," or "Divest Company X with a return of Y% within 12 months." With each goal in mind Onyx will marshal and manage all of the resources necessary to accomplish it, including, if necessary, specialists from outside the firm.

Sell Side

For many private business owners, selling their company is the most important financial and business decision they will make in their careers. A successful sell-side assignment begins with effective preparation. To prepare your company for sale, we conduct thorough due diligence on both the company and industry with a goal of maximizing the value of your business through effective positioning and market timing. We help you prepare offering materials and financial projections that will market your business and prospects most effectively to prospective buyers. We develop a comprehensive list of potential acquirers and target the appropriate people within each organization we intend to contact. Most importantly, we have the experience to help you answer the many questions that will arise during the process. Such questions include:
  • Is now the right time to go to market, or would the valuation and outcome be improved materially after achieving certain milestones or company re-organization?
  • Is a targeted approach to a universe of likely buyers more appropriate than a broadcast auction?

Capital Raise

In connection with our buy-side advisory growth consulting services, or a potential real need in 2009, distressed or problem company capital raising, we help clients develop appropriate funding strategies, access our wide circle of funding sources, and assist in structuring one or more term sheets for the financing.

Joint Ventures and Strategic Business Relationships

Onyx principals have years of extensive experience in business development transactions such as joint ventures and other strategic business relationships, especially in the Technology Sector. We have negotiated and closed myriad deals of this nature on the best terms. We bring our relationship orientation to these types of assignments as well and work to ensure that the short-term and long-term results of the transaction meet our clients' objectives. We also leverage our cross-border experience to assist our clients in tapping overseas markets to expand and grow their businesses.
